Terms & Conditions
London Finishing Services and You agree to abide by these Conditions, which govern the relationship between us. These Conditions prevail over any inconsistent terms or conditions contained in any document supplied by you.
Provision of Services:
In accordance with these Terms and Conditions, London Finishing Services will only provide the Services described above. Acceptance of these Terms and Conditions will be implied by your continued instructions in the matter. The scope of the Services can be modified as the matter progresses by London Finishing Services. Any additional work carried out on your instructions will also be subject to these Terms and Conditions.
Obligations of London Finishing Services:
As described on the page of Terms and Conditions, London Finishing Services will provide the Services in a reasonable manner, and will try to meet any performance dates specified, but these dates are only estimates, and time will not be of the essence for performing the Services. As a result of such observation, London Finishing Services shall not be held liable for any breach of any of its obligations hereunder if it is in breach of any of those rules and regulations, as well as any other reasonable security requirements that apply at any of Your premises and that have been communicated to it.
In your obligations:
You shall collaborate with London Finishing Services in all aspects pertaining to the Services, supplying them in a prompt fashion with no fee and access to your premises and other facilities as they require; quickly provide measurements of the areas to be plastered, colour and finish needed, and any other info they may request, making sure it is fully accurate in all respects. Inform London Finishing Services of all applicable health and safety regulations, security requirements, and any other necessary stipulations at your premises.
Deposits:
London Finishing Services must receive the deposit in full by the Deposit Date before providing any services.
Expenses:
All expenses are charged at cost at the then current rates at the time of the transaction.
Samples:
London Finishing Services will charge [£] for all samples unless otherwise agreed.
Payment:
All fees must be paid within 14 days of the invoice date, without any set-off or deduction, unless otherwise agreed. London Finishing Services reserves the right to levy an interest charge of 2% per month on any amount that remains unpaid by the due date.
Interim Billing:
At London Finishing Services, when the Services we provide extend over a period of more than one month, we will send you an invoice each month.
References and Credit Checks:
By agreeing to these Terms and Conditions, you grant London Finishing Services express permission to carry out a credit check. In addition, London Finishing Services reserves the right to request references prior to agreeing to any contract for the provision of services to you.
Confidentiality:
The two parties agree to maintain total secrecy about any technical or commercial knowledge, specifications, processes, or initiatives that are private in nature and were disclosed to them for the purpose of providing services, as well as any other confidential information pertaining to either party’s businesses or products that they might receive.
Waiver:
Any waiver of a right or remedy by London Finishing Services is only legally binding if it is made in writing. London Finishing Services’ failure or delay to exercise a right or remedy shall not be considered a waiver.
Assignment:
Without obtaining the prior written consent of London Finishing Services, you are strictly prohibited from assigning or transferring any of your rights or obligations under these Terms and Conditions. On the other hand, London Finishing Services reserves the right to assign or transfer their rights under these Terms and Conditions and may even entrust third parties with any of their obligations.
No Partnership:
The parties are not entering into any partnership or joint venture through these Terms and Conditions.
Third Parties:
Individuals who are not parties to these Terms and Conditions are not entitled to any rights hereunder.
Law:
The parties agree that any disputes concerning these Terms and Conditions shall be subject to the laws of England and Wales, and they irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
Whole Agreement:
By combining these Terms and Conditions, a comprehensive agreement is formed which supersedes all prior negotiations, agreements, and understandings related to the matter between the parties.
Breach by employees:
You, Your employees, agents, and suppliers must all abide by these Terms and Conditions. Should any of these persons fail to comply, it will be considered a breach of contract on Your part.
Mediation:
Should any disagreement arise in connection with this agreement, the parties shall endeavour to resolve the matter through mediation in accordance with the Centre for Effective Dispute Resolution’s (CEDR) Model Mediation Procedure. Unless both parties reach a different agreement, the mediator shall be selected by CEDR.
Termination:
London Finishing Services reserve the right to end the agreement without further notice in the event of You not making the payments due by the due date and failing to do so for at least seven days after being reminded in writing, or if You persistently breach any of the terms of the Terms and Conditions.
Limitation of Liability:
London Finishing Services hereby limits its liability under these Terms and Conditions to the fullest extent possible under law, and waives all liability whatsoever, however it may arise.
